How We Are Compensated for Our
Intermediary Advisory Services
There is nothing unique about the way we charge for intermediary advisory services. Our fees, like those of all professional services, are based on the time we invest and the value we provide our clients. There are two basic fee structures:
Success Fee Agreement: A contract for intermediary services structured with either a fixed success fee or a fee based on a percentage of the total consideration for the transferred business. Success fees are payable upon ahievement of specific objectives and/or the conclusion of the sale.
The contracts includes a non-refundable retainer and a non-refundable monthly consulting fee plus expenses, all of which are fully deductible from the total success fee earned. (This approach provides the owners of mid-sized businesses with a total fixed price of less than 5% of the transaction value for all services based on the ultimate selling price for the business.) The "Success Fee" structure provides the client with a fixed relationship between the selling price and total fees and expenses.
A Fee-for-Services Agreement: This is the traditional approach found in the legal or accounting professions. The engagement is structured with the same retainer amount in the Success Fee Agreement. All fees are invoiced monthly bases on the daily rate for professional intermediary services plus expenses. This type of contract may also be structured with a success fee which is payable upon completion of the transaction.(This compensation approach is typically more appropriate for a transaction in which the target buyer or seller is already identified.)
Either approach may be used when a full range of services is required. The typical term of the intermediary "Success Fee" contract for a full range of services is nine (9) months, while the "Fee-for-Services" agreement typically has no fixed term.
Introductory client consultations are always free. No chargeable work is performed until there is agreement on exactly what is needed and what services we will provide. We can always tailor consulting services to meet specific client needs. (Consulting services, once the scope of work is clearly established, are provided on a per-day-rate.)
